Job Overview:
The VP, Assistant General Counsel (Corporate Law) will engage in a broad range of general corporate legal work, with an emphasis on supporting LPL Financial’s strategic transactions. The position reports to the Senior Vice President, Associate General Counsel within the Corporate Law group of LPL’s Compliance, Legal and Risk Department. This attorney will interface daily with in-house colleagues and business executives in the context of providing legal advice.
The attorney will advise in connection with a range of transactional and financing matters, with a focus on mergers and acquisitions transactions and minority equity investments in connection with the company’s liquidity and succession solutions.
Responsibilities:
Merger and acquisition opportunities
Minority equity investment opportunities
Advisor practice acquisition, capital financing and succession planning
Drafting and negotiation of letters of intent, term sheets, definitive acquisition agreements and closing documentation
Creating, implementing and refining forms and procedures in support of LPL Financial’s internal corporate development function
Managing external counsel in connection with strategic transactions
Coordinating with colleagues throughout the firm, including in the corporate development, finance and legal departments, in managing transactions from letter of intent to post-closing

Requirements:
JD from a nationally recognized law school
Experience working for a large law firm
Transactional experience – M&A and/or venture capital financing transactions
Strong organizational and project management skills, including the ability to handle multiple negotiations and manage deadlines in a fast-paced and demanding work environment
Excellent drafting, negotiating, and communication skills
Ability to interface well with business executives in real-time to problem-solve and provide independent judgment
In addition, the position may support, on an as-needed basis:
Capital markets transactions, including debt financings
Investor relations and corporate communications
Board of directors and committee matters
